By accessing or using the Mithrilis platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
You must be at least 18 years of age to use this Service.
Mithrilis is an AI-powered logistics intelligence platform that provides:
The Service connects to your existing logistics systems and processes data to provide intelligent automation and insights.
To access the Service, you must create an account by providing accurate, complete, and current information. You are responsible for:
Each organization should maintain a single account. Multiple accounts for the same organization may be consolidated or terminated.
Customer represents and warrants that they have the necessary rights, licenses, and permissions to connect Mithrilis to their third-party accounts (e.g., CargoWise, Magaya, TMS/WMS systems). Customer is solely responsible for complying with the terms of service of such third-party platforms.
Customer agrees to indemnify, defend, and hold harmless Mithrilis from any claims, damages, losses, or expenses arising from Customer's violation of any third-party platform's terms of service.
The accuracy, completeness, and legality of data retrieved from third-party systems is the sole responsibility of the Customer. Mithrilis does not verify or validate data sourced from connected systems.
Mithrilis is not affiliated with, endorsed by, or sponsored by any third-party platform providers. All third-party product names, logos, and brands are property of their respective owners.
The Service is offered through a combination of subscription-based and usage-based pricing:
Different tiers provide access to different features, support levels, and usage limits as described in our pricing documentation.
Standard and Pro Tiers: Mithrilis will use commercially reasonable efforts to maintain high availability of the Service.
Enterprise Tier: Subject to a separate Enterprise Agreement, Mithrilis commits to 99.9% uptime with service credits for any downtime exceeding this threshold.
Scheduled maintenance windows are excluded from uptime calculations. Mithrilis will provide reasonable advance notice of scheduled maintenance.
You retain all ownership rights to your data. By using the Service, you grant Mithrilis a limited license to use your data solely to provide and improve the Service.
Mithrilis owns all rights to the platform, software, AI models, and related intellectual property. Nothing in these Terms transfers ownership of any Mithrilis intellectual property to you.
Mithrilis may use aggregated, anonymized data patterns to improve our AI models and services. We do not use identifiable customer data for training purposes. Future opt-in programs may allow voluntary contribution of data to help improve the Service.
Access to the Mithrilis API is subject to your subscription tier. When using the API, you must:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MITHRILIS'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO MITHRILIS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
IN NO EVENT SHALL MITHRILIS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
These limitations do not apply to damages arising from gross negligence or willful misconduct by Mithrilis.
You agree to indemnify, defend, and hold harmless Mithrilis, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:
Either party may terminate this agreement with thirty (30) days' written notice. Mithrilis may terminate immediately if you materially breach these Terms.
Upon termination:
Mithrilis may modify these Terms from time to time. We will provide at least thirty (30) days' notice of material changes via email to the address associated with your account.
Your continued use of the Service after the effective date of changes constitutes acceptance of the modified Terms.
Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Each party shall bear its own costs in any arbitration proceeding.
